Notwithstanding the first sentence in the preceding paragraph, if no JOSH entity is listed on the Order Form, then the JOSH entity will be Joshsthlm AB, reg.. no.. 556655-2948, Riddargatan 10, 114 35 Stockholm, Sweden.. 1 Definitions.. “JOSH” owns and develops interactive platform software (the interactive platform software including any and all parts, software, plug-ins, modules or similar is here-forth referred to as “XCAP”) provided under the Agreement.. “XCAP” is a backend platform with APIs for building Interactive Web functionality.. For avoidance of doubt it is all the code that is included in the file XCAP.. jar that can be downloaded from JOSH.. “XCAP Xpress” is a code layer that facilitates development of web services on XCAP.. It is not a mandatory or integrated part of the XCAP code and it is not a part of the XCAP License Agreement.. “XCAP Admin” is an administration tool for moderating and administrating services built on XCAP.. “Delivery Date” means the date on emailed acceptance of Customer’s XCAP order placed pursuant to the Order Form.. The acceptance mail contains a download link where Customer may download XCAP.. “Order Form” means the form on the website at www.. xcap.. net where Customer fills in required data and accepts the terms and conditions of usage of XCAP.. “UVM” means the total Monthly number of Unique Visitors to the websites where XCAP is being used.. Unique Visitors represents the number of unduplicated (counted only once) visitors to your website over the course of a specified time period.. A Unique Visitor is determined using cookies.. 2 RIGHTS.. 2.. 1 XCAP LICENSE.. JOSH hereby grants to Customer and Customer accepts from JOSH, subject to the terms and conditions hereof, a non-exclusive, non-assignable XCAP Installation during the Term to the use of XCAP to the extent as detailed in this Agreement.. 2 XCAP VERSION AND UPDATES.. This agreement shall apply to version 2.. 7 of XCAP.. 3 TERM AND TERMINATION.. 3.. 1 TERM.. This Agreement shall commence on the Delivery Date and continue in full force unless terminated as set forth below (“Term”).. 2 TERMINATION.. JOSH may terminate this Agreement with immediate effect in any of the following events:.. a) If Costumer does not comply with the terms and conditions as set out in this Agreement;.. b) If Customers UVM has exceeded the number mentioned in clause 4.. 1 below.. Upon termination according to the above, Customer will cease using XCAP no later than at the expiration of the applicable Term and shall promptly and without further delay destroy any and all copies of XCAP.. Within thirty (30) days of termination, each party will return or destroy all Confidential Information of the other party in its possession and will not make or retain any copies of such Confidential Information except as required to comply with any applicable legal or accounting record keeping requirement.. 4 FEES.. 4.. 1 LICENSE FEE.. The License Fee for non-commercial use is nil (0) until the average number of monthly Unique Visitors (“UVM”) to the service where XCAP is used exceeds 25 000 UVM.. Customer shall without delay inform JOSH when the average number of UVM has exceeded the above mentioned number or when XCAP is being used for commercial-use.. JOSH shall at its sole discretion (acting reasonable) have the right to examine Costumers server logs and/or Costumers internal statistics of transmissions/traffic.. JOSH will in regards to such examination at all times agree not to disclose any information that may be confidential to third party.. 5 SUPPORT.. 5.. 1 TECHNICAL SUPPORT.. JOSH shall not be obligated to provide technical support to the Customer.. 6 SERVICES AND OBLIGATIONS.. 6.. 1 MAINTENANCE.. JOSH shall at its own discretion provide maintenance of all Services/Modules ordered by the Customer and supplied by JOSH.. 2 ERROR CORRECTION.. JOSH shall not be obligated to provide maintenance with regard to errors, defects etc.. pertaining to XCAP.. MISCELLANEOUS.. 3 OWNERSHIP.. Customer acknowledges that, as between Customer and JOSH, JOSH owns all right, title and interest in any and all software, systems and interfaces provided to Customer under this Agreement.. JOSH shall retain all intellectual property rights, title and interest in and to XCAP and in connection with XCAP, its services and content etc, as well as JOSH’s Trademarks.. Customer retains the ownership to any and all information with regard to Customer’s customers (“Customer Information”) that, if applicable, Customer provides JOSH with or is administered through XCAP.. JOSH may only use Customer Information to the extent necessary in order to perform and improve services or activities agreed upon under this Agreement.. 4 WARRANTIES, REPRESENTATIONS, AND COVENANTS.. Each party warrants, represents, and covenants to the other party as follows and acknowledges that the other party is relying on such warranties, representations and covenants in entering into this Agreement and the transactions contemplated in this Agreement.. Customer further warrants represents, and covenants it has and will throughout the Term continue to hold and comply with any permit or license required to carry out its business and that it will comply with applicable laws and regulations, including but not limited to providing XCAP pursuant to this agreement.. 5 LIMITATION.. Except as otherwise provided herein, there are no warranties, representations or conditions, express or implied, written or oral, arising by statute, operation of law or otherwise, regarding the performance of this Agreement and the parties disclaim any implied warranty or condition of merchantable quality, merchantability, durability or fitness for a particular purpose.. Each party understands and agrees that it will be solely responsible for the financial and legal consequences resulting from both its assertion of any representations or provision of any warranties to Customers or end users, in connection with XCAP, which exceed the scope of the party’s mutually agreed upon parameters for such representations and warranties.. 6 CUSTOMER’S SITE CONTENT.. JOSH reserves the right to deny Customer continued services if Customer engages in explicit content on its website or otherwise engages in content which is considered explicit, offensive or otherwise improper provided that such engagement or content is prohibited by law, or otherwise acts detrimental to JOSH, as solely determined by JOSH, acting reasonably.. Customer shall bear any and all costs, if any, incurred by JOSH in connection with the shutdown.. 7 TERMINATION FOR CAUSE.. Either party may terminate this agreement immediately, without liability to the other party, if the other party is in material breach and the party in breach does not, within thirty (30) days following written notice by the other party, cease to be in breach, or in the event of either party’s dissolution or the liquidation of either party 's assets, or the filing by or against either party of a petition for liquidation, insolvency, bankruptcy, or reorganization, or in the event of the appointment of a trustee, receiver or custodian for either party or for any of either party 's property, or in the event that either party shall make an assignment for the benefit of creditors or commit any act for, or in, bankruptcy or become insolvent, then at any time after the occurrence of any such event, in addition to any other remedies which may be available, the other party shall have the option by notice to immediately terminate the Term of this Agreement.. In the event that JOSH should terminate the Term of this Agreement in accordance to the aforementioned sentence then Customer shall immediately cease using XCAP and shall promptly and without further delay return any and all copies of XCAP to JOSH.. 8 LIMITATION OF LIABILITY.. Except as otherwise stated in this Agreement, in no event will either party be liable for incidental, indirect, special or consequential damages or any damages whatsoever resulting from loss of use, data or profits, arising out of or in connection with this Agreement.. Neither party shall bear liability of any and all third parties’ misuse or infringement of intellectual property contemplated herein if the party in question has engaged in those measures deemed reasonably precautionary to protect the other party’s intellectual property.. 9 ACTION TO PROTECT.. Each party shall promptly report to the other any actual or suspected violation of the terms of this Agreement, and shall take all reasonable steps to prevent, control or remedy such violation.. 10 LIABILITY.. Neither party shall be liable to the other party for indirect, incidental, consequential or special damages, such as loss of profits, arising out of or in connection with this agreement, except that in the event of a breach of any representation and warranty made herein, no such limitation shall apply.. 11 NO VARIATION.. No agreements varying or extending the foregoing warranties or limitations will be binding on either party unless in writing and signed by an authorized representative of both Parties.. 12 NOTICES..
